  THIS RELEASE AND LICENSE AGREEMENT is made between YOURSELF, hereinafter referred to as "Releasor," and WINGS HYPNOSIS, LLC, a Florida limited liability company and TRACI KANAAN, individually, hereinafter collectively referred to as "Releasees."

  IN CONSIDERATION of the mutual covenants herein contained, the above-named parties make the following agreement with reference to the use by Releasees of certain photographs, videos, images, and recordings of and including Releasor, hereinafter referred to as the "images."

SECTION ONE - PURPOSE

   The parties intend to participate in creating a hypnosis podcast which may or may not be released to the public.  The parties may hereafter mutually agree to undertake other similar activities in the future, which agreements shall be entered into in writing by the parties.  

SECTION TWO - PLACE OF BUSINESS

   All correspondence with reference to this Agreement may be addressed to Releasor c/o The Hilarious Hypnotist Podcast and to Releasees at c/o [email protected]. 

SECTION THREE - LICENSE TO USE IMAGES

   Releasor understands that Releasor has licensed and authorized Releasees to use, for Releasees' advertising and promotional purposes only, certain images of Releasor, and the parties agree that such images have been or will be used by Releasees only because of this Agreement. 

   Releasees will not use or employ said images for any purpose other than as set forth in this Agreement.  The images provided by Releasor as referenced in this Agreement shall remain the sole and exclusive property of Releasees.

 SECTION FOUR - RELEASE

   Releasor, being of lawful age, in consideration of being permitted to participate in the above-referenced activities being conducted by Releasees at no cost or expense to Releasor, does individually and on behalf of Releasor's heirs, executors, administrators and assigns, hereby release and forever discharge Releasees, their heirs, executors, administrators and assigns of and from any and every claim, demand, action or right of action, of whatever kind or nature, either in law or in equity arising from or by reason of any bodily injury or personal injury known or unknown, death or property damage resulting from or related to participation in the above-referenced activities whether resulting from negligence or not. 

SECTION FIVE - COOPERATION OF PARTIES

   The parties agree to provide sufficient effort and attention to this Agreement and cooperate each with the other in a manner not inconsistent with this Agreement. No party to this Agreement is in any way precluded from engaging in any other business venture by the terms of this particular Agreement, provided sam is not in violation of the terms of this Agreement.

 SECTION SIX - TERMINATION

   This Agreement shall be terminable by either party after thirty (30) days written notice to the other party.  No termination shall be effective, however, as to any images of Releasor obtained by Releasee prior to said termination.

 SECTION SEVEN - AMENDMENT

    The Agreement may be amended or modified by the parties at any time but only upon a written instrument executed by both parties. 

SECTION EIGHT - ENTIRE AGREEMENT

    The Agreement shall represent the full and complete understanding of the parties and no other agreement shall be binding unless incorporated herein. 

SECTION NINE - PERSONS BOUND

    This Agreement shall be binding upon the parties, their heirs, successors, personal representatives and assigns.

 SECTION TEN - APPLICABLE LAW

    This Agreement shall be governed by Florida law, and any litigation between the parties shall be filed in Pasco County, Florida, as the sole jurisdiction and venue. 

SECTION ELEVEN - ATTORNEY'S FEES AND COSTS

    In the event of any subsequent litigation between the parties, the prevailing party shall be entitled to an award of reasonable attorney fees and costs. 

I UNDERSTAND THIS AGREEMENT

  I acknowledge that I have not altered or tweaked this agreement in any way. 

  I acknowledge that I have read the above agreement, understand it completely, and agree to the terms and conditions of this contract.
